Terms of Service
Last updated: October 12, 2026 · Version 2026-10-12
These Terms of Service ("Terms") are an agreement between you and Thalmann Enterprises LLC ("Pounce", "we", "us"). They cover the Pounce Windows app, Pounce Cloud, the Pounce community, documentation, and support (together, "Pounce").
You accept these Terms when you check the box to accept them while activating your license, or when you use Pounce. If you don't agree, don't use Pounce. Our Privacy Policy explains how we handle personal information.
1. Who can use Pounce
You must be at least 18 and able to enter a binding contract. If you use Pounce for a business, you confirm that you can bind that business to these Terms, and "you" includes the business.
2. What Pounce does
Pounce is decision-support software for resellers. It scans Facebook Marketplace through the accounts you add, filters listings with your rules and AI, matches listings to catalog items including vehicles, estimates resale value from eBay sold data, TCGplayer prices, and vehicle valuation data, and sends alerts to Discord, Telegram, and Windows.
When you turn them on for a search, Pounce can message sellers for you: one opener, and Auto-lowball negotiation for up to three replies before it hands the conversation back to you. Pounce can also prepare relisting drafts that it publishes from your chosen account after you review them, track your flips, and let you share wins with the Pounce community.
3. Your license
While you have an active paid plan and follow these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Pounce app, and to use Pounce Cloud through it, for your own deal finding and within the limits of your plan, such as search slots and devices. Your license key is personal to you and is tied to your devices. Keep it secret; you are responsible for activity under your license.
4. Restrictions
Except where the law expressly allows it, you may not:
- copy, modify, reverse engineer, decompile, or disassemble the app or Pounce Cloud, or try to extract their source code, catalogs, or prompts;
- crack, bypass, or tamper with license checks, device limits, usage limits, or security features;
- sell, resell, rent, lend, sublicense, or share Pounce or your license key, or let anyone else use your license;
- access Pounce Cloud other than through the official app, or overload, scrape, or send automated requests to it;
- use Pounce to build or train a competing product; or
- remove or obscure any proprietary notices.
5. Acceptable use
You may not use Pounce for:
- fraud, scams, or deceptive transactions, including fake offers, bait-and-switch tactics, or payment tricks;
- harassment, threats, hate, or discrimination against sellers or anyone else;
- spam or unwanted bulk messages;
- deceptive or misleading messages, including impersonating anyone or misrepresenting who you are;
- buying or selling items that are illegal, stolen, or banned on the platform;
- collecting, selling, or misusing sellers' personal information; or
- anything that breaks the law or the terms of Facebook or another platform you use.
Use only Facebook and other accounts that you own or are authorized to use. Don't buy, sell, rent, or borrow accounts for Pounce.
You are responsible for every message sent from your accounts, including messages Pounce writes or sends automatically for you. Review your search rules, message settings, and templates, and keep messaging off for any search where you don't want it. Pounce filters AI-written messages to block links, contact details, and payment requests, but you remain responsible for what is sent.
You are also responsible for the proxies, notification channels, and pricing settings you configure, and for checking listings, seller identity, item condition, resale value, pickup safety, and transaction details before you act.
6. Account and platform risk
Facebook's terms restrict automated access to its products. Using automation on Marketplace can lead Facebook or Meta to warn, challenge, rate-limit, restrict, or permanently disable your accounts. eBay, TCGplayer, Discord, Telegram, Whop, and other services can also restrict access, or change in ways that break Pounce features.
Pounce is designed to operate conservatively, but no automation tool can guarantee zero account risk, uninterrupted access, or platform compatibility. You decide whether to use Pounce with your accounts, and you accept these risks. We are not responsible for actions a third-party platform takes against your accounts.
7. No profit guarantee
Pounce does not guarantee profit, alerts, speed, item availability, seller responses, resale value, or successful deals. Pricing, catalog values, vehicle valuations, AI verification, condition handling, repair classifications, ROI estimates, and seller checks are decision-support tools and may be wrong. Vehicle valuations are estimates, not appraisals; inspect any vehicle before purchasing. You are responsible for final judgment.
Example alerts, screenshots, demo figures, and community wins on our website and in our Discord are illustrations or individual self-reported results, not a prediction of what you will earn. Your results will vary, and you may earn less or nothing. Pounce is not financial, investment, or legal advice.
8. Subscriptions and auto-renewal
Paid plans are sold through Whop, which handles checkout and payment. Before you buy, the checkout shows the price, the billing period, and that the plan renews automatically.
- Auto-renewal. Your plan renews automatically at the end of each billing period, at the current price for your plan, until you cancel. Whop charges the payment method you provided at each renewal.
- Cancel anytime. You can cancel online in your Whop account. Cancelling stops future renewals, and you keep access until the end of the period you already paid for. You can also ask our support team to cancel for you.
- Price changes. If the price of your plan goes up, we will tell you before the new price applies, and you can cancel before it does.
- Trials and promotions. If an offer includes a free or discounted trial, the checkout shows when it ends and what you will be charged afterward. It becomes a paid plan unless you cancel before it ends.
- Plan changes. Features, limits, and prices can change over time. Pounce checks your license with Pounce Cloud regularly, so it needs an internet connection, and some updates may be required to keep using it.
9. Refunds
Unless a written offer states otherwise, you can cancel renewals for future billing periods, but payments for time already used are not automatically refundable. Initial access fees, beta access, and digital software access may be non-refundable once delivered. Any refund exception is handled at our discretion or through Whop. Nothing in these Terms limits refund rights you have under the law where you live.
10. Your content and the community
You keep ownership of what you post or submit, such as community wins, notes, Discord posts, bug reports, and message templates ("your content"). You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, display, and distribute your content only as needed to run Pounce and the community, including showing wins you share to other Pounce users and in our Discord. This license ends when you remove the content, except for copies in backups, which expire on our normal schedule.
When you share content, you confirm that you have the right to share it and that anything you add, such as notes, contains no one else's personal information, like a seller's name, messages, phone number, or address. We may remove content that breaks these Terms.
11. Feedback
If you send us ideas, suggestions, or feedback, we may use them without restriction or payment to you.
12. Our property
Pounce, including the software, Pounce Cloud, catalogs, documentation, and brand, belongs to us and our licensors. These Terms give you no rights other than the license in section 3.
13. Support and diagnostics
We provide support through Discord, Whop, email, and in-app bug reports. Support bundles are created on your PC and are only sent if you choose to send them. They are designed to exclude Facebook page HTML and your license, session, and credential files, and their logs and settings summaries are redacted.
14. Third-party services
Pounce depends on third-party services and data sources, including Facebook Marketplace, eBay, TCGplayer, vehicle valuation data, AI providers, Whop, Discord, Telegram, hosting providers, and proxy providers. Their own terms govern your use of them, and their outages or changes can affect Pounce. Pounce is not affiliated with Facebook, Meta, eBay, TCGplayer, Kelley Blue Book, J.D. Power, Whop, Discord, Telegram, Google, or DeepSeek.
15. Disclaimers
Pounce is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We do not promise that Pounce will be uninterrupted, error-free, or compatible with any platform, or that alerts, AI decisions, prices, or messages will be accurate or on time.
16. Limitation of liability
To the fullest extent the law allows:
- we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, missed deals, lost data, account restrictions or bans, or actions of third-party platforms, even if we were told they were possible; and
- our total liability for all claims relating to Pounce or these Terms is limited to the greater of the amounts you paid us for Pounce in the 12 months before the event giving rise to the claim, or US$100.
Some places don't allow these limits, so they may not fully apply to you. Nothing in these Terms limits liability that the law does not allow to be limited.
17. Indemnity
To the extent the law allows, you will defend, indemnify, and hold harmless Pounce and its owners, staff, and contractors from third-party claims, and related losses, costs, and reasonable legal fees, arising from your use of Pounce, your content, messages sent from your accounts, or your breach of these Terms, the law, or a third-party platform's terms. We will tell you about any such claim, and we may take part in or control the defense at our own cost.
18. Termination
You can stop using Pounce at any time and cancel your plan in Whop. We may suspend or end your access, with notice where practical, if you breach these Terms, don't pay, create security or legal risk, or harm Pounce, other users, sellers, or third-party platforms. When your access ends, your license ends and you must stop using the app. Data on your PC stays under your control; uninstalling with "Also remove your Pounce data" deletes it. Sections 4, 5, 7, 9, 10, 11, 12, and 15 through 21 survive termination.
19. Governing law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules. Subject to section 20, the state and federal courts located in Florida have exclusive jurisdiction over disputes about Pounce or these Terms. If you are a consumer, you keep any protections of mandatory law where you live.
20. Resolving disputes
Before starting a formal claim, email us at bentbusiness0@gmail.com with a description of the problem and what you want. We will try to resolve it informally within 30 days, and we ask you to do the same.
21. General
- Entire agreement. These Terms, the Privacy Policy, and any plan terms shown at checkout are the entire agreement between you and us about Pounce.
- Severability. If a court finds part of these Terms unenforceable, the rest stays in effect, and that part is enforced as far as the law allows.
- No waiver. If we don't enforce a term right away, we can still enforce it later.
- Assignment. You may not transfer these Terms or your license without our written consent. We may transfer them in a merger, acquisition, or sale of assets, or to an affiliate.
- Events outside our control. We are not responsible for delays or failures caused by events beyond our reasonable control, including outages and changes at third-party platforms.
- Notices. We may send notices in the app or on our Discord. Send legal notices to bentbusiness0@gmail.com.
22. Changes to these Terms
We may update these Terms as Pounce changes. We announce material changes in the app and on our Discord before they take effect, update the date and version at the top of this page, and may ask you to accept the new version in the app. If you don't agree to a change, stop using Pounce and cancel before it takes effect. Changes do not apply to disputes that arose before them.
